These terms govern your access to and use of the Centro Access platform and services. Please read them carefully.

1. Introduction

Welcome to CentroAccess ("we," "our," "us"). These Terms and Conditions ("Terms") govern your access to and use of the CentroAccess platform, including our web application, mobile apps, integrations, and any related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our Services.

2. Definitions

In these Terms, the following definitions apply:

"Customer" means an organisation or individual subscribing to our Services.

"User" means an individual authorised by a Customer to use the Services.

"Content" means any data, documents, or information uploaded, submitted, or processed through the Services.

"Subscription" means a paid or free plan granting access to our Services for a defined period.

3. Eligibility

You may use our Services only if you:

  • Are at least 18 years old (or the legal age in your jurisdiction); and
  • Have the authority to enter into a binding contract on behalf of your organisation.

4. Account Registration

When you create an account with us:

  • Customers must create an account and provide accurate information
  • You are responsible for maintaining the confidentiality of your login credentials
  • You must promptly notify us if you suspect unauthorized access to your account
  • We reserve the right to refuse registration or terminate accounts that violate these Terms

5. Use of Services

When using our Services, you agree to:

  • Use the Services only for lawful purposes
  • Use Services in accordance with these Terms
  • Ensure all Content you submit is accurate and lawful
  • Respect the rights and privacy of others

Prohibited Actions:

  • Misuse or reverse-engineer the Services
  • Attempt to circumvent security measures
  • Violate applicable laws or regulations
  • Upload malicious code or content that infringes third-party rights
  • Use the Services to harm, harass, or threaten others

6. Subscription & Payment

Some features of our Services require a paid Subscription. The following terms apply to all paid subscriptions:

  • Fees are billed in advance on a recurring basis (monthly, quarterly, or annually) unless otherwise agreed
  • Payments are non-refundable, except as required by law or stated in our Refund Policy
  • We may change our pricing with 30 days' notice to existing customers
  • Failed payments may result in suspension or termination of your account

7. Intellectual Property

The intellectual property rights in our Services are owned by us or our licensors. Specifically:

  • We own all rights, title, and interest in the Services, including software, logos, and trademarks

  • You grant us a licence to use your Content solely for providing the Services to you
  • You may not copy, modify, distribute, or create derivative works of our Services

8. Data Protection & Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using our Services, you consent to the processing of your data as outlined in the Privacy Policy.

We implement appropriate security measures to protect your data, but you acknowledge that no system is completely secure.

9. Confidentiality

Both parties agree to keep confidential any non-public information shared in connection with the Services, except where disclosure is required by law or with the prior written consent of the disclosing party.

10. Service Availability

While we strive to maintain continuous service availability:

  • We do not guarantee uninterrupted availability of the Services
  • We may update, modify, or discontinue features at our discretion, with reasonable notice where possible
  • Scheduled maintenance will be communicated in advance when feasible
  • We are not liable for downtime caused by factors beyond our reasonable control

11. Termination

Either party may terminate this agreement:

  • We may suspend or terminate your access to the Services if you breach these Terms
  • You may terminate your account at any time by following the cancellation process
  • Upon termination, your access will be revoked, but we will provide a reasonable window for you to export your data
  • Termination does not relieve either party of obligations incurred prior to termination

12. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages arising from your use of the Services
  • Our total liability in any claim will not exceed the amount you paid us in the 12 months preceding the event giving rise to the claim
  • This limitation applies regardless of the legal theory on which the claim is based
  • Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you

13. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:

  • Your use of the Services in violation of these Terms
  • Your violation of applicable laws or regulations
  • Your infringement of third-party rights, including intellectual property rights
  • Any Content you submit that causes harm to third parties

14. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms shall be resolved by binding arbitration under the rules of the London Court of International Arbitration (LCIA), with the seat of arbitration in London, United Kingdom, and the language of proceedings in English.

15. Changes to These Terms

We may update these Terms from time to time. When we do:

  • The updated version will be posted on our website with a revised "Last Updated" date
  • We will notify you of material changes via email or through the Services
  • Continued use of our Services after changes become effective constitutes acceptance of the updated Terms
